Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the parcel locker services, software, websites, applications, electronic notifications, locker interfaces and related services provided by 14109783 Canada Inc., operating as StaticMile Parcel Lockers (“StaticMile”, “we”, “us” or “our”).

StaticMile provides smart parcel locker technology that enables residents, tenants, property managers, couriers, delivery personnel and other authorized users to deposit, temporarily store and retrieve parcels at participating properties and locations.

For purposes of these Terms, the “Services” include StaticMile parcel lockers, locker controllers and interfaces, websites, optional mobile or web applications, software, electronic notifications, access codes, administrative tools and other functionality made available in connection with the StaticMile parcel locker system.

By accessing or using the Services, including by using an access code, opening a StaticMile locker, using a StaticMile application or otherwise interacting with the Services, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, you should not use the Services.

1. ELIGIBILITY AND AUTHORIZED USE

You may use the Services only if you are authorized to do so by the applicable property owner, property manager, organization, sender, recipient or other party responsible for the StaticMile locker location.

You must have the legal capacity to agree to these Terms. Where a user has not reached the age of majority in their province or territory, use of the Services must be authorized or supervised by a parent, guardian or other person legally permitted to provide such authorization.

You may use the Services only for their intended purpose, including depositing, temporarily storing, receiving or retrieving parcels and other items permitted by StaticMile and the applicable property.

Access codes, PINs, QR codes, links or other access credentials are intended only for the authorized user or recipient and should not be publicly shared.

2. HOW STATICMILE WORKS

A parcel may be placed into a StaticMile locker by a courier, delivery provider, property representative or other authorized person.

When information identifying the intended recipient is available, the StaticMile system may send the recipient an email, SMS message, app notification or other electronic communication containing instructions or credentials for retrieving the parcel.

Residents are not generally required to create a StaticMile account to receive or retrieve a parcel. Where available, StaticMile may offer an optional mobile application, web account or other digital service providing additional functionality.

The availability and configuration of the Services may vary by property. Certain features may be enabled, disabled or managed by the property owner, property manager or organization responsible for the locker location.

3. DELIVERY AND PARCEL INFORMATION

StaticMile provides technology that facilitates parcel deposit, temporary storage and retrieval.

Unless expressly stated otherwise, StaticMile is not the courier, carrier, retailer, sender, property manager or delivery company responsible for transporting or delivering a parcel.

StaticMile does not control when a courier arrives, whether a parcel is delivered, the condition of a parcel before it is deposited, or the accuracy of information supplied by a sender, courier, property representative or other third party.

Delivery information provided to StaticMile may include your name, contact information, unit or location information, parcel identifiers and other information required to identify the intended recipient and facilitate delivery.

If you receive a notification for a parcel that does not belong to you, you must not remove the parcel from the locker. Please notify StaticMile or an authorized representative of the property.

4. PARCEL PICKUP

You are responsible for protecting any access code, PIN, QR code, link or other credential provided to you for parcel retrieval.

You must not knowingly provide your retrieval credentials to anyone who is not authorized to collect the parcel on your behalf.

A parcel may be considered retrieved once the applicable locker compartment has been successfully opened using authorized credentials.

You are responsible for confirming that the parcel you remove belongs to you.

If a compartment opens and contains an item that does not belong to you, do not remove the item. Close the compartment where possible and contact StaticMile support or an authorized property representative.

StaticMile may maintain records of locker activity, including parcel deposits, access attempts, compartment openings, retrieval events, timestamps, administrative actions and system status, for operational, security, customer support and other lawful purposes.

5. PROPERTY ADMINISTRATOR ACCESS

Authorized property owners, property managers and their designated representatives may be provided with administrative access to StaticMile lockers installed at their properties.

Depending on the property configuration, authorized administrators may be able to:

  • view parcel and locker status information;
  • open or reset locker compartments;
  • assist residents with parcel retrieval;
  • relocate parcels between compartments;
  • remove unclaimed or abandoned parcels;
  • manage courier or user access;
  • investigate reported delivery or retrieval issues; and
  • perform other reasonable parcel-management or administrative functions.

Administrative access is intended to support operation of the parcel locker system and management of parcels at the applicable property.

StaticMile may record administrative activity for security, auditing, support and operational purposes.

6. UNCLAIMED PARCELS

StaticMile lockers are intended for temporary parcel storage and are not long-term storage facilities.

The property owner or property manager may establish a pickup period or other policies concerning how long parcels may remain in a locker.

If a parcel remains unclaimed, StaticMile or the property may send additional pickup reminders.

After the applicable pickup period has passed, an authorized property representative may open the compartment and remove the parcel so the locker can be made available for other deliveries.

An unclaimed parcel may then be stored elsewhere at the property, returned to the sender or courier, or otherwise handled according to the property’s policies and applicable law.

Once a parcel has been removed from the StaticMile locker by an authorized property representative, responsibility for its subsequent storage or handling generally rests with the applicable property or other party taking possession of it, subject to applicable law.

7. PROHIBITED ITEMS AND USE

You must not use StaticMile lockers for any unlawful, unsafe, fraudulent or unauthorized purpose.

You must not place or knowingly cause to be placed into a StaticMile locker any item that is:

  • illegal or unlawfully possessed;
  • hazardous, explosive, flammable, toxic or otherwise dangerous;
  • likely to leak, contaminate or damage a locker or another parcel;
  • prohibited by the applicable courier, property or law;
  • likely to create an unreasonable health or safety risk; or
  • otherwise unsuitable for temporary storage in a parcel locker.

You must not:

  • intentionally damage, force open, tamper with or disable a locker;
  • attempt to access a compartment or parcel that you are not authorized to access;
  • use another person's credentials without authorization;
  • provide false or misleading recipient or delivery information;
  • interfere with the operation, security or availability of the Services;
  • attempt to circumvent access or security controls;
  • attempt to gain unauthorized access to StaticMile systems, software or administrative functions;
  • introduce malicious software or code into the Services;
  • use automated tools to improperly access, scrape, probe or interfere with our systems; or
  • use the Services in any manner prohibited by the applicable property or applicable law.

StaticMile may restrict or disable access to the Services where we reasonably believe there has been misuse, fraudulent activity, unauthorized access, a safety or security threat, or a material violation of these Terms.

8. SERVICE COMMUNICATIONS

StaticMile may send electronic communications that are reasonably necessary to provide, operate or secure the Services.

These communications may include:

  • parcel delivery notifications;
  • pickup codes and retrieval instructions;
  • pickup reminders;
  • locker access confirmations;
  • service alerts;
  • security notices;
  • account or application notifications, where applicable;
  • customer-support communications; and
  • other operational messages relating to your use of StaticMile.

Communications may be delivered by email, SMS, mobile notification or another electronic method using contact information provided by you or supplied by an authorized property, courier, delivery provider or other party involved in the delivery.

You are responsible for ensuring that contact information provided in connection with your deliveries is accurate.

Operational and transactional communications are separate from promotional or marketing communications.

Where required by applicable law, StaticMile will obtain appropriate consent before sending marketing communications and will provide applicable mechanisms for managing marketing preferences.

Changing your marketing preferences will not prevent StaticMile from sending communications reasonably necessary to provide or secure the Services.

Standard messaging and data charges imposed by your telecommunications provider may apply.

9. OPTIONAL ACCOUNTS AND APPLICATIONS

StaticMile may make an optional mobile application, web portal or user account available.

If you choose to create an account, you are responsible for maintaining the confidentiality of your password and other account credentials.

You are responsible for activity conducted through your account unless the activity results from circumstances for which StaticMile is legally responsible.

You must promptly notify StaticMile if you reasonably believe your account or credentials have been accessed without authorization.

StaticMile may temporarily restrict access to an account where reasonably necessary to investigate suspected fraud, unauthorized access or another security issue.

Additional terms may be presented when you register for or activate an optional service. If there is a conflict between those additional terms and these Terms regarding that particular service, the additional terms will apply to the extent of the conflict.

10. FEES CHARGED BY A PROPERTY

StaticMile does not ordinarily charge a resident a fee simply to retrieve a parcel from a StaticMile locker.

However, a participating property owner, property manager or other organization may establish fees relating to parcel-management services, including, where applicable, registration, extended storage, late pickup or other property-specific services.

Any such fee is established by the applicable property or organization and should be disclosed to you before the fee is incurred where required by applicable law.

StaticMile may provide technology that allows us to collect such amounts from you on behalf of the applicable property or organization.

Where StaticMile collects a property-imposed fee:

  • you authorize StaticMile or its payment service provider to charge the payment method you provide for the disclosed amount;
  • StaticMile may collect applicable taxes where required;
  • the underlying fee remains a fee imposed by the applicable property unless expressly identified as a StaticMile fee; and
  • questions concerning the basis or amount of a property-imposed fee may need to be directed to the applicable property.

StaticMile may use third-party payment processors to facilitate payment transactions.

If StaticMile introduces an optional product or service for which StaticMile itself charges a fee, the applicable price, taxes and payment terms will be disclosed before you purchase that service.

11. PRIVACY

StaticMile's collection, use, disclosure, retention and protection of personal information are described in our Privacy Policy.

Depending on how a particular property uses StaticMile, personal information may be provided directly by you or by property managers, couriers, delivery companies, senders, service providers or other authorized parties.

Information processed through the Services may include information such as:

  • your name;
  • email address;
  • telephone number;
  • property, building or unit information;
  • parcel and delivery identifiers;
  • delivery and retrieval information;
  • locker access activity;
  • application or account information, where applicable;
  • administrative activity;
  • device and technical information; and
  • customer-support information.

StaticMile will handle personal information in accordance with its Privacy Policy and applicable Canadian privacy legislation.

Where reasonably necessary to operate, support, secure or improve the Services, information may be processed by or shared with authorized property representatives and service providers, subject to applicable privacy requirements.

12. SECURITY

StaticMile uses reasonable administrative, technical and physical measures intended to protect the Services and information under our control.

No technology system can be guaranteed to be completely secure or continuously available.

You must also take reasonable steps to protect your own access credentials.

If you believe that an access code, account or other credential has been compromised, or that someone may have accessed a parcel without authorization, contact StaticMile or the applicable property representative as soon as reasonably possible.

StaticMile may invalidate credentials, restrict access, reset a compartment or take other reasonable security measures where necessary to protect users, parcels, properties or the StaticMile platform.

13. LOST, DAMAGED, MISDIRECTED OR MISSING PARCELS

If you believe that a parcel is missing, damaged, misdirected or was accessed by an unauthorized person, you should promptly notify the applicable courier or sender and StaticMile or the property manager, as appropriate.

StaticMile may review available locker-system records to assist in investigating a reported incident.

StaticMile does not ordinarily inspect the contents or condition of a parcel when it is deposited and therefore cannot independently confirm the contents or condition of the parcel at the time of delivery.

To the extent permitted by applicable law, StaticMile is not responsible for loss or damage caused by:

  • the sender or retailer;
  • a courier or delivery provider;
  • improper packaging;
  • incorrect or incomplete delivery information;
  • an authorized property representative;
  • an unauthorized third party;
  • circumstances occurring before the parcel is deposited into the locker;
  • circumstances occurring after an authorized person removes the parcel from the locker; or
  • events outside StaticMile's reasonable control.

Nothing in these Terms excludes or limits responsibility that cannot lawfully be excluded or limited.

14. INTELLECTUAL PROPERTY

The StaticMile platform and Services, including StaticMile software, interfaces, designs, graphics, documentation, text, logos, trademarks and other proprietary materials, are owned by or licensed to StaticMile and are protected by applicable intellectual property laws.

StaticMile grants you a limited, personal, non-exclusive, non-transferable and revocable right to access and use the Services solely for their intended purposes and in accordance with these Terms.

Except where permitted by applicable law or authorized by StaticMile in writing, you may not:

  • copy or reproduce StaticMile software or proprietary content;
  • modify or create derivative works from the Services;
  • sell, license or commercially exploit the Services;
  • reverse engineer or attempt to extract source code from StaticMile software;
  • circumvent technical protection or security measures; or
  • remove proprietary notices, branding or intellectual property notices.

Nothing in these Terms transfers ownership of StaticMile intellectual property to you.

15. THIRD-PARTY SERVICES

The Services may interact with or contain links to services operated by third parties, including couriers, property-management platforms, payment processors, telecommunications providers, mapping providers or other technology services.

Third-party services may be governed by their own terms and privacy policies.

StaticMile does not control third-party services and is not responsible for the acts or omissions of third parties except where responsibility cannot lawfully be excluded.

The presence of a link or technical integration does not necessarily mean that StaticMile endorses the applicable third party.

16. SERVICE AVAILABILITY

StaticMile aims to provide reliable locker access and services but does not guarantee uninterrupted or error-free operation.

The Services may occasionally be unavailable, delayed or limited because of:

  • planned or emergency maintenance;
  • internet or cellular connectivity;
  • electrical outages;
  • equipment or hardware failure;
  • software issues;
  • telecommunications interruptions;
  • third-party service outages;
  • cybersecurity or security events;
  • property-access restrictions; or
  • circumstances outside our reasonable control.

Where reasonably practicable, StaticMile may work with the applicable property to restore service or provide alternative parcel-access arrangements.

StaticMile may update, modify, maintain, repair, replace, suspend or discontinue features of the Services where reasonably necessary to operate, improve or secure the platform.

17. SUSPENSION OR TERMINATION OF ACCESS

StaticMile may temporarily restrict, suspend or terminate access to the Services where reasonably necessary because of:

  • a material violation of these Terms;
  • suspected fraud;
  • unauthorized access;
  • a security or safety concern;
  • intentional damage or misuse of equipment;
  • misuse of another person's parcel or credentials;
  • a request from the organization responsible for the locker location; or
  • a legal or regulatory requirement.

Where reasonably practicable, StaticMile and the applicable property may arrange for retrieval of parcels already stored in the system despite a suspension of electronic access.

18. DISCLAIMER

StaticMile will provide the Services with reasonable care and in accordance with applicable law.

However, subject to any rights, warranties or guarantees that cannot legally be excluded, the Services are provided on an “as available” basis.

StaticMile does not guarantee that:

  • the Services will always operate without interruption or error;
  • every third-party delivery will be correctly addressed or deposited;
  • every courier or property representative will use the system correctly;
  • a notification will always be delivered immediately; or
  • third-party networks, telecommunications services or other systems used by the Services will always be available.

Nothing in these Terms limits statutory warranties, guarantees or consumer rights that apply to you and cannot lawfully be waived.

19. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, StaticMile will not be liable for indirect, incidental, special, exemplary, punitive or consequential losses arising from your use of, or inability to use, the Services where such losses cannot reasonably be attributed to StaticMile or where liability may lawfully be limited.

StaticMile is not responsible for the value, contents or condition of a parcel merely because the parcel was stored in a StaticMile locker.

Where a loss is directly caused by an act or omission of StaticMile, StaticMile's responsibility will be determined in accordance with applicable law and these Terms.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any other liability that applicable law does not permit us to exclude or restrict.

20. RESPONSIBILITY FOR DAMAGE OR MISUSE

You are responsible for loss or damage that you intentionally cause to StaticMile equipment, systems or property.

Where permitted by applicable law, you may be responsible for reasonable costs directly resulting from:

  • intentional damage to a StaticMile locker;
  • fraudulent use of the Services;
  • knowingly accessing or taking a parcel belonging to another person;
  • unauthorized interference with StaticMile systems; or
  • another material and intentional violation of these Terms.

This section does not limit rights or protections available to you under applicable consumer protection legislation.

21. CHANGES TO THE SERVICES

StaticMile may add, remove, update or modify features of the Services from time to time.

These changes may include changes to locker functionality, software, applications, communications, administrative tools or integrations.

StaticMile may also discontinue a feature or service where reasonably necessary for operational, commercial, security or technical reasons.

22. CHANGES TO THESE TERMS

StaticMile may update these Terms periodically to reflect changes to the Services, our business practices, technology or applicable legal requirements.

The current version will be made available through our website or Services and will display the date on which it was last updated.

Where required by applicable law or where a change materially affects your rights, StaticMile will provide additional notice or obtain consent where required.

Your continued use of the Services after updated Terms become effective constitutes acceptance of those updated Terms to the extent permitted by applicable law.

23. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of Canada and the laws of the province or territory applicable to your use of the Services, without limiting any mandatory rights or protections available to you under applicable law.

If you have a concern or dispute involving StaticMile, we encourage you to contact us first so that we can attempt to resolve the matter.

Nothing in these Terms prevents you from exercising rights available through a court, tribunal, regulatory authority or other dispute-resolution process available under applicable Canadian law.

Nothing in these Terms is intended to deprive a consumer of mandatory protections available under the laws of their province or territory.

24. FORCE MAJEURE

To the extent permitted by applicable law, StaticMile will not be responsible for a delay or failure to perform caused by circumstances outside its reasonable control.

These circumstances may include severe weather, natural disasters, fire, flooding, power failures, telecommunications outages, labour disruptions, governmental actions, widespread technology failures, public emergencies or other comparable events.

25. SEVERABILITY

If any provision of these Terms is determined to be invalid, illegal or unenforceable, that provision will be interpreted or limited to the minimum extent reasonably necessary.

The remaining provisions will continue in effect.

26. NO WAIVER

If StaticMile does not immediately enforce a right or provision under these Terms, that does not mean StaticMile has waived the right to enforce it later.

27. ASSIGNMENT

You may not transfer or assign your rights under these Terms in a manner that would provide another person with unauthorized access to the Services.

StaticMile may transfer or assign its rights and obligations under these Terms in connection with a corporate reorganization, merger, acquisition, financing, sale of assets or similar business transaction, subject to applicable law.

28. ENTIRE AGREEMENT

These Terms, together with the StaticMile Privacy Policy and any additional terms expressly presented to you for a particular StaticMile product or service, constitute the agreement between you and StaticMile concerning your use of the Services.

StaticMile may have separate agreements with property owners, property managers, businesses, customers or other organizations.

Those separate commercial agreements are not replaced by these resident or end-user Terms.
